1. Acceptance of Terms

By accessing or using Docify's AI document processing platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User" or "you") and Helios Japan Co., Ltd. ("Docify," "we," "us," or "our").

2. Service Description

Docify provides AI-powered document processing services, including but not limited to:

• Optical Character Recognition (OCR) for document text extraction
• AI-powered translation services supporting 100+ languages
• Document verification and compliance checking
• API access for programmatic integration

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited activities include:

• Uploading documents containing illegal, harmful, or offensive content
• Attempting to reverse engineer, decompile, or disassemble any aspect of the Service
• Using the Service to process documents you do not have the right to use
• Interfering with or disrupting the Service or servers
• Attempting to gain unauthorized access to any portion of the Service
• Using the Service in any manner that could damage, disable, or impair the Service

6. Payment and Billing

Certain features of the Service require payment. By purchasing a paid subscription or service:

• Free Trial: New users receive free trial credits. Trial terms may change without notice.
• Subscription Fees: Subscription fees are billed in advance on a recurring basis. All fees are non-refundable except as required by law.
• Usage-Based Billing: API usage may be charged based on consumption. You are responsible for monitoring your usage.
• Price Changes: We reserve the right to modify our fees with reasonable notice.

7. Intellectual Property

The Service, including all software, text, images, trademarks, service marks, logos, and other content (excluding User Content), is owned by Docify and protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or software without our express written permission.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

11. Indemnification

You agree to indemnify, defend, and hold harmless Docify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your violation of these Terms or your use of the Service.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service immediately ceases.

You may terminate your account at any time by contacting us at support@docify.jp. Upon termination, any outstanding fees become immediately due and payable.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court in Japan.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
